Maximize Exit Value

Quality of Earnings:

About Quality of Earnings

A “Quality of Earnings (QoE)” is a third-party financial analysis that PROTECTS Buyers, Brokers and Bankers by assessing the sustainability of a company’s earnings, looking at how reliable a company’s earnings are – not just taking the seller’s word for it.

When the client invests in Quality of Earnings, they substantially mitigate buy-side risk and protect themselves from the seller’s potential oversight, misrepresentation, and fraud.

Our Process

1

Obtain from seller most recent three years of tax returns (2023, 2024, 2025) plus the most recent Balance Sheet. It is also necessary to gain limited access to the seller’s accounting system in order to systematically analyze ledger entries.

2

Analyze Business Tax Returns, Financial Statements and Ledger to generate Preliminary Report.

3

Deepen analysis by matching bank statements with ledger entries to ensure there are no inflated revenues or hidden expenses, and to uncover intermingling between personal and business accounts.

4

Redefine expense line items to demonstrate stable accounting.

Note: Normalize P&Ls so the buyer is confident that the information presented by the seller is verified, truthful, and has high integrity.

5

Prepare a summary of recommendations that the client can initiate for a safer transaction. Prepare a summary of questions that arose from the in-depth research into the Co. MEV can also be retained to speak on the client’s behalf with the seller or buyer.
